The ACTS board of directors has called a General Meeting to table a Special Resolution to amend the ACTS Constitution. The proposed amendments are aimed at strengthening our governance while ensuring we enhance our organisation’s ability to respond effectively to new challenges and opportunities.
Key changes:
- Increase in board size: Expanding the maximum number of directors from 12 to 15 allows for broader representation and diversity of expertise.
- Clearer election and appointment procedures: Ensuring transparency and fairness in how directors are elected and appointed.
- Term limits for directors and officers: Introducing term limits to promote fresh perspectives and avoid stagnation.
- Enhanced flexibility for appointments: Allowing the board to appoint directors to fill specific roles as needed ensures we can address gaps and leverage specialised skills for the benefit of the organisation.
Rationale for changes:
- While these amendments provide the board with the flexibility to appoint directors, member representatives will continue to hold the balance of power, maintaining democratic governance.
- The ability to appoint directors allows the board to bring in specific expertise critical to advancing our mission and addressing emerging needs.
- These changes are designed to ensure that our governance structures remain robust and capable of supporting our strategic goals.
The Special General Meeting will take place on Wednesday 21 November, 2024 | 12.00pm – 12.30pm AEST
