Paramount to the success of the ACTS is the time and dedication provided by our voluntary Board of Directors. This passionate group of sustainability-minded professionals and educators has guided the strategic direction of ACTS, supported its initiatives and broadened the standing of ACTS regionally and in the international arena.

In line with our governing constitution, each year one third of the sitting ACTS Board of Directors must retire (and are eligible for re-election). At the 2024 AGM four Director positions will be retired.

Applications are now open for eligible individuals who would like to contribute their time and expertise to help us advance our vision and mission. An ideal candidate will be someone passionate about education and sustainability. They have the background, expertise and skills to help us deliver our strategy.

Key skills and experience we’re looking for:

  • A commitment to sustainability and the ACTS mission.

  • Strong leadership, governance, or strategic planning experience.

  • Expertise in sustainability, education, or nonprofit management.

  • A willingness to actively contribute time and energy to board activities, including monthly virtual Board meetings and participating in Special Interest Groups.

  • Have perspectives from outside of the further and higher education sectors.

  • Have experience of financial and/or risk management – you do not need to have financial qualifications but we’re looking for candidates with a sound understanding of budgeting, risks and income generation.

Am I eligible to be a Director?2023-08-09T18:39:12+10:00

ACTS is an Australian Company Limited by Guarantee, therefore directors will need to meet the requirements to serve on the Board of such an entity and be responsible for the legal duties and liabilities of directors. Key requirements include:

  • Be at least 18 years of age and consent to taking on the role and responsibilities of a director.
  • Provide, or apply for, a director identification number (director ID) with the Australian Business Registry Services (ABRS). A director ID is a unique identifier that a director will apply for once and keep forever.
  • Be employed or enrolled at a current member organisation, or are a lifetime member. Current ACTS member organisations can be found here.
  • Be nominated by two members or representatives of members entitled to vote (unless you have been previously elected as a director at a general meeting and have been a director since that meeting). A list of voting member representatives is available in the Member Portal.

You cannot be an ACTS director if you:

  • Are not employed or enrolled at a current member organisation.
  • If your appointment were to breach the term provisions, including the limits on the number of consecutive terms, as stated in the Constitution.
  • If there are potential, perceived or real conflicts of interest between your role as a director, your commercial interest and our member organisations.
  • You are currently being investigated under the Code of Conduct.
How are Directors elected?2023-08-09T12:30:26+10:00

Directors are elected according to the ACTS Constitution and the By-Law: Procedure for Election of Directors. This by-law has been designed to assist members to understand the rules for the nomination of candidates and the conduct of an election of Directors to the Board. 

To summarise, if the number of valid nominations received is equal to or less than the number of vacant positions to be filled, those nominees shall be deemed to be elected and appointed as Directors. Any unfilled Director positions remaining on the Board shall be deemed to be casual vacancies and may be filled by the Board, as per the Constitution.

If the number of nominations received for Directors exceeds the number of positions to be filled, an election shall be held at the AGM.

When an election is required, a Notice of the Election will be sent by email to all eligible voting members prior to the AGM. The following shall be posted on the ACTS website to support the Notice of Election:

  • A photo and statement from each of the candidates.
  • Instructions on how member representatives can submit a ballot at the AGM.
  • Any other supporting material as required.

Voting will take place via electronic ballots and each member representative is entitled to one vote.

Nominations are to be made in writing, using the online Nomination Form at the bottom on this page and submitted before the nomination deadline. Your nomination will need to be signed and (if you are not a sitting director) also include the name and contact details of two ACTS member representatives entitled to vote who support your nomination. A list of voting member representatives is available in the Member Portal.

To complete the Nomination Form you will need to:

  • Agree to provide, or apply for, a director identification number (director ID) with the Australian Business Registry Services (ABRS);
  • Where applicable, confirm you have the support from your supervisor to undertake the voluntary role;
  • Provide a statement (up to 500 words) to highlight the reasons for your nomination and to identify the relevant knowledge, skills and experience you will contribute as a Director;
  • Where applicable, accept any nomination requirements as determined by the ACTS Board;
  • Provide a copy of your CV and a high resolution ‘headshot’ photo.

This voluntary position requires a minimum commitment of 12 months, commencing at the Annual General Meeting (AGM) and they must retire at least once every three years.

How much of my time is it likely to take?2021-09-20T17:03:25+10:00

This really is up to the person holding the position, though we would expect it to take at least 4-6 hours per month, including meetings. This is not a set amount of time, but an estimation of participation required to be effective. You are quite welcome to put in more time to achieve more if you so desire.

Of course. We would be more than happy to discuss the role, ACTS, or anything else that is considered important with your supervisor, if you think it will assist in your application and/or fulfilling the role.

Yes. It is important that you have your supervisor’s support for you to undertake this voluntary role, particularly as Board meetings are held within regular business hours. As ACTS Director, your organisation will receive recognition on the ACTS website for the contribution you are making.

Any request for expenditure needs to be discussed with the Treasurer.

Most definitely! A Director role offers an opportunity for growth and development through this experience. The ACTS Board are keen to ensure the best outcome possible for both parties.
